3 March 2017 – Melbourne - Ansell Limited (ASX: ANN), a global leader in protection solutions, today announces the pending retirements of Mr. Dale Crandall, Non-Executive Director and Mr. Bill Reilly, General Counsel. Mr. Crandall will retire with effect on 20 October 2017, being the date of the Ansell Limited 2017 Annual General Meeting. Mr. Reilly, General Counsel, will retire on 4 August 2017 and will be nominated as a Non-Executive Director to the Board of Ansell Limited at the 2017 Annual General Meeting.
Mr. Crandall was appointed as a Non-Executive Director in 2002 and has completed the maximum fifteen-year term permissible under the Ansell Limited Board Charter. Mr. Crandall joined Ansell Limited at a time when the Company required strong and courageous leadership from the Board as it worked through the legacy issues inherited from the restructuring of the troubled Pacific Dunlop Ltd Group. He has provided insightful guidance, sound counsel and unwavering support to the Company throughout the journey to the profitable and stable Ansell Limited of today. Dale’s thorough knowledge of the history of the Company combined with his deep commercial experience and financial background have all aided in his considerable contribution to the Board’s deliberations and the recent successes of Ansell Limited. The Board and the Management of Ansell Limited wish to acknowledge the extraordinary contribution that Mr. Crandall has made to Ansell Limited during his tenure.
During Mr. Crandall’s term as a Non-Executive Director, he has worked alongside three Chairmen and three Chief Executive Officers. In addition to his duties as a Non-Executive Director, he has served as the Chairman of the Audit and Compliance Committee and a member of the Nomination, Remuneration and Evaluation Committee. Dale is currently a member of the Audit and Compliance Committee, the Risk Committee and is Special Advisor for Mergers & Acquisitions.
Mr. Reilly was appointed as General Counsel of Ansell Healthcare in 2000 when it was a division of Pacific Dunlop Limited, subsequently becoming General Counsel of Ansell Limited in 2002. Mr. Reilly has also served with three CEOs and has played pivotal roles leading many of Ansell’s corporate strategic and legal initiatives, including mergers and acquisitions, litigation and the successful intellectual property strategy. He has also overseen the Global Compliance and Risk functions, acted as interim head of Human Resources, leader of the Regulatory function and joint Company Secretary. Ansell Limited would like to acknowledge the far-reaching and significant contribution of Mr. Reilly in supporting the corporate initiatives of the business and for his strong and sound leadership throughout his tenure.
The Board of Ansell Limited intends to nominate Mr. Reilly to stand as a non-executive non-independent director of Ansell Limited at the 2017 Annual General Meeting. The Board believes that the deep corporate knowledge that Mr. Reilly possesses of Ansell Limited together with his considerable experience of law, compliance, commercial negotiation and corporate governance will allow him to make a substantial ongoing contribution to the Board and to Ansell Limited.
