27 October, 2020 – Ansell Limited (ASX:ANN), a global leader in personal protection safety solutions, provides a clarification in respect of proposed changes to the constitution (resolution 3).
The Ansell 2020 Annual General Meeting (AGM) will be held at 9am Australian Eastern Daylight Time on Thursday 5 November 2020.
Item 3 at the AGM seeks shareholder approval for the adoption of a new constitution. The proposed changes include the adoption of various rules to provide greater flexibility for Ansell to hold a general meeting using technology and electronic means. This would include “virtual” meetings (conducted wholly online like the 2020 AGM) and “hybrid” meetings (that is, where shareholders can meet in-person while others can participate online using technology). Any technology used at a general meeting must give shareholders as a whole a reasonable opportunity to participate in the meeting.
Ansell wishes to confirm that it has no intention to move permanently to wholly virtual shareholder meetings. Virtual meetings would only be considered in individual circumstances where extraordinary conditions (such as the pandemic) make in-person meetings practically impossible.
Importantly, the amended provisions allow greater flexibility to hold “hybrid” meetings. Hybrid meetings provide additional opportunities for shareholders to participate in meetings in the manner most convenient to them.
Therefore, the Board considers the proposed amendments are in the best interests of shareholders and unanimously recommends that shareholders vote in favour of the resolution in item 3.
